About this agreement
These Terms of Service ("Terms") form a legal agreement between you (the "Customer") and ZENIX TECHNOLOGY SOLUTIONS, a business registered in Nigeria with registration number RC 7855808 ("Zenix", "we", "us", "our"), based in Lagos, Nigeria.
By signing up for, accessing, or using any Zenix service, including Managed Hosting, Essential Hosting, Fix My Site, AI Automation, or any related product, you agree to these Terms. If you don't agree, don't use the services.
These Terms apply alongside our Privacy Policy, Refund Policy, and Acceptable Use Policy. Together they form the complete agreement between you and Zenix.
The services we provide
Zenix offers a range of web infrastructure and engineering services:
- Managed Hosting, premium hosting where we run, maintain, secure, and monitor your website on our infrastructure.
- Essential Hosting, hosting infrastructure where we provide the server, SSL, and backups; you handle updates and management.
- Fix My Site, flat-fee emergency and repair work on existing websites.
- AI Automation, custom automation, AI integrations, and workflow systems built for your business.
- Custom engineering work, quoted separately when scope is outside standard offerings.
Specific service details, what's included, and any limits are described on the relevant product page on our website. Where those descriptions conflict with these Terms, the product page governs the specifics of that service.
Your account and obligations
When you sign up for a Zenix service, you agree to:
- Provide accurate, current, and complete information.
- Keep your account credentials secure. You're responsible for all activity under your account.
- Notify us promptly if you discover unauthorised access to your account.
- Use the services only for lawful purposes and in line with our Acceptable Use Policy.
- Cooperate with reasonable requests for information we need to operate the service (e.g., DNS access during migration, FTP credentials for restoration).
You must be at least 18 years old, or be authorised by a business or organisation to enter into this agreement on its behalf.
Payment and billing
Pricing. Service pricing is shown on the relevant product pages in US Dollars (USD). Where Naira equivalents are shown, they are approximate and may differ from the actual amount charged based on prevailing exchange rates at the time of payment.
Payment methods. We accept Paystack, Flutterwave, Stripe, PayPal, and bank transfer. Payment processor fees are absorbed by us unless otherwise stated.
Billing cycles. Hosting services are billed either monthly or annually, as selected at sign-up. All payments are due in advance of the service period.
Annual plans. Annual plans are billed in full at the start of the service period. Cancellation rights and refund eligibility are described in our Refund Policy.
Renewals. Hosting plans renew automatically at the end of each billing cycle. We'll email you at least 7 days before any renewal charge. To prevent renewal, cancel before the renewal date in line with the cancellation notice required (see below).
Failed payments. If a payment fails, we'll notify you and retry within 7 days. After 14 days of non-payment, we may suspend the service. After 30 days, we may terminate it and delete data.
Currency fluctuations. Because services are priced in USD, the Naira amount you pay may vary between billing cycles. We don't compensate for currency movement.
Uptime and service levels
We aim for 99.9% server uptime on all hosting plans, calculated monthly. This excludes:
- Scheduled maintenance (we give at least 48 hours' notice for non-emergency maintenance).
- Issues caused by your own code, plugins, configurations, or third-party services you use.
- Force majeure events (natural disasters, government action, internet backbone outages, etc.).
- Issues caused by abuse, DDoS attacks, or other malicious activity originating from your account.
If we fail to meet 99.9% uptime in a calendar month due to our infrastructure or actions, you may request a service credit of one day of free service for each 1% below 99.9%, capped at 30 days per month. Service credits must be requested within 30 days of the affected month and are issued as account credit only, not as cash refunds.
Support
Support scope varies by plan:
- Managed Hosting: response times as stated on your plan tier. Email and WhatsApp support.
- Essential Hosting: support is limited to billing, server access, and infrastructure issues only. Site-level support (WordPress, plugins, code) is not included, request Fix My Site for those issues.
- Fix My Site: support is included for the duration and scope of the fix engagement plus the fix guarantee period.
Our standard working hours are Monday–Saturday, 9am–8pm West Africa Time (WAT). Emergency Response plan customers receive 24/7 response within the windows stated on their plan.
Your data and content
You retain all ownership of content, code, data, and intellectual property you upload, create, or store using Zenix services. We don't claim ownership of your content.
You grant us a limited licence to access, copy, modify, transmit, and back up your content solely to provide the services (e.g., we need to copy files between disks during migration, take backups, optimise images on managed plans).
You are responsible for ensuring you have the legal right to all content you upload and that it doesn't infringe any third party's rights.
Data backups. Backup frequency varies by plan. We strongly recommend you maintain your own backups in addition to ours. We're not liable for data loss beyond the credit equivalent of one month's service fees.
Termination and cancellation
You may cancel any Zenix service by emailing hello@zenix.ng or messaging us on WhatsApp.
Notice period. Managed Hosting and Essential Hosting require 30 days' notice before cancellation takes effect. Service continues during the notice period and is billed normally.
Refund eligibility is governed by our Refund Policy.
We may terminate your service with notice if:
- You materially breach these Terms or the Acceptable Use Policy.
- Payment fails and isn't resolved within 30 days.
- Your usage threatens the stability or security of our infrastructure or other customers.
- We're required to do so by law or government order.
Immediate termination may occur without notice for serious violations (illegal content, security threats, abuse). In such cases, no refund is owed.
After termination: you'll have 30 days to download your data. After 30 days, we may permanently delete it. We can provide data exports during this window at no charge.
Limitation of liability
To the maximum extent permitted by law:
- Zenix's total liability under this agreement is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim.
- We're not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost revenue, business interruption, or loss of data, even if we've been advised of the possibility.
- We don't guarantee the services will be uninterrupted, error-free, or completely secure. The internet is inherently imperfect.
Nothing in this section excludes liability that cannot be excluded by Nigerian law, including liability for fraud or wilful misconduct.
Changes to these terms
We may update these Terms from time to time. Material changes will be announced via email to active customers at least 14 days before they take effect. Continued use of the services after that date constitutes acceptance.
If you don't agree with a material change, you may cancel the service before the change takes effect; in that case, we'll refund any prepaid fees for the unused portion of your service.
Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes that can't be resolved informally will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
If you're a customer outside Nigeria, this doesn't deprive you of any mandatory protections under your local law that cannot be waived by contract.
